These Terms of Service ("Terms") govern your use of UpeoRetail and our website. By accessing or using our services, you agree to be bound by these Terms.

Use Of The Service

You agree to use UpeoRetail only for lawful purposes and in line with these Terms. You are responsible for keeping your account credentials secure and for all activity under your account.

Accounts And Setup

Your UpeoRetail site is created after account review and payment confirmation. You are responsible for providing accurate business information during registration.

Fees And Payments

UpeoRetail is licensed for a one-off fee, set by the kind of shop you run and the number of users your licence covers. Configuring your branches, tills and payment methods, importing your items, prices and opening stock, and creating and training your staff accounts are included in that fee. Integrations with third-party systems (including banks, card or payment gateways and VAT control units) and any hardware supplied are quoted separately and only when requested.

An annual cloud hosting and maintenance fee of 30% of the one-off fee covers hosting, software updates, support and backups. The first annual fee falls due one month after your system goes live, and on that date each year thereafter.

Fees are quoted in Kenyan Shillings (KES) for businesses in Kenya and in US Dollars (USD) elsewhere. Businesses with more than 20 users are quoted individually. Your fees, and any change to them, are governed by your agreement with us.

Your Data

You retain ownership of the business data you enter into UpeoRetail. We process it to provide the service, as described in our Privacy Policy.

Availability

We work to keep UpeoRetail available and reliable, but we do not guarantee uninterrupted service. We may perform maintenance and updates from time to time.

Limitation Of Liability

To the maximum extent permitted by law, UpeoRetail is not liable for indirect, incidental or consequential damages arising from your use of the service.

Changes To These Terms

We may update these Terms from time to time. Continued use of the service means you accept the updated Terms.
